Partner / legal advisorFor many years, I have been helping clients with tax and legal issues related to M&A transactions, investments in startups and the ongoing operation of technology businesses. The combination of tax and legal expertise allows me to be an effective advisor to technology businesses at every stage of development, from startups through scaleups to multinational corporations.
Currently, on the basis of experience in working with clients in the area of new technologies, as part of Tax & Tech Kraft, we offer specialized tax services including implementation of Estonian CIT, IP Box, R&D tax credits, robotization tax credits or 50% tax deductible expenses. The above-mentioned range of services addressed to the new technology industry, complemented by support in international and transactional taxes, allows me to provide comprehensive advice to clients on their tax needs.
At the same time, at Tax & Tech Kraft, we know how much new technology businesses need funding to grow. That’s why we assist both in obtaining grants from public funds addressed primarily to R&D and robotization projects, as well as in negotiating investment documentation with private investors (including angels and VCs).
Finally, myself and the entire Tax & Tech Kraft team, are big fans of entrepreneurship and new technologies. We are concrete, we understand our clients’ business, we are able to communicate with them and, most importantly, we simply want to help them.
More notable projects I have advised on include:
- legal and tax support of the client in the sale of 100% of the shares in the Namyslow Brewery to the Żywiec Group;
- legal and tax support for a client in the acquisition of a 100% stake in a Polish start-up providing career development services (transaction value of approximately $40 million);
- legal and tax support to the shareholders of IT Systems and Solutions sp. z o.o. in the sale of 100% of the company’s shares to Mirovia Holding AB;
- legal support set-up of the Polish operations of Facebook and Spotify;
- supporting Fliko in negotiating an investment agreement with a VC fund; – implementation of 50% tax-deductible expenses in one of the largest research institutes in Poland engaged in the development of ICT networks or in one of the largest brokerage houses in Poland;
- legal support for LTG Cargo AB in its joint venture negotiations with PKP Cargo regarding intermodal train transport in the routes involving Lithuania, Poland Germany and Italy;
- support on Polish legal and tax aspects of the sale of Jump Bikes (bike sharing business) to Uber; – legal and tax advice to Lithuanian holding company Sevenways in its acquisition of EBS Group (one of the market leaders in cyber security) from Avallon Fund.
